These Terms of Service (the “Terms”) are an agreement between you and Sysiphany LLC (“Sysiphany,” “we,” “us,” or “our”). They govern your use of our websites, AI consultation workspace, diagnostic conversations, summaries, complete reports, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you use the Service for a company or other organization, you confirm that you have authority to bind that organization, and “you” includes that organization.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter into these Terms. You are responsible for the accuracy of your account information and for protecting access to your email account, magic sign-in links, Google account, and active sessions. Tell us promptly at [email protected] if you believe your account has been accessed without authorization.
2. What the Service provides
The Service uses artificial intelligence and Sysiphany methodology to conduct structured business consultations, identify patterns, collect evidence, generate diagnostic summaries, and prepare complete reports. You may also be offered a link to arrange a separate human consultation. Human consulting services may be subject to additional scope, scheduling, and payment terms presented before booking.
We may change, add, remove, or test features as the Service evolves. Beta and preview features may be less reliable and may change without notice.
3. Credits, summaries, reports, and payments
- Consultation turns may consume credits as shown in the product. Free, registration, promotional, or administrator-granted credits may expire, may have additional conditions, and have no cash value.
- Unless the product states otherwise, a structured summary may be generated without a card. Each purchase of complete-report access unlocks one complete report for one diagnosis; it does not unlock all present or future reports.
- Complimentary access codes are limited to their stated campaign, total-use, per-user, email-domain, and expiry rules. They may not be sold, transferred, or redeemed for cash.
- Prices, taxes, currency, and the item being purchased are displayed before payment. Payments are processed by Stripe, and Stripe's terms may also apply.
- Except where required by law or expressly stated at checkout, consumed credits and completed digital reports are non-refundable. Contact us promptly if you believe a charge was made in error.
We may adjust future pricing, credit allowances, or packaging. Changes will not retroactively alter a completed purchase.
4. Your content and business information
You retain your rights in the information you submit, including company context, answers, documents, feedback, and instructions (“User Content”). You grant Sysiphany a limited, worldwide license to host, copy, process, transmit, and format User Content only as reasonably necessary to operate, secure, support, and improve the Service and to generate your requested outputs.
You represent that you have the rights and permissions needed to provide User Content, including personal information about employees, customers, or other people. Do not submit passwords, authentication secrets, payment-card numbers, protected health information, or other highly regulated or unnecessary sensitive data. The Service is not designed as a secure repository for such information.
5. AI processing and generated output
To provide the Service, relevant User Content, conversation history, report context, and selected Sysiphany methodology may be sent to third-party AI model providers. Those providers process data under their own terms and our applicable arrangements. See our Privacy Policy for details.
AI-generated responses, scores, summaries, and reports are probabilistic and may be incomplete, outdated, inconsistent, or wrong. They are decision-support materials, not legal, medical, accounting, investment, tax, employment, cybersecurity, or other regulated professional advice. A report is a snapshot based on the evidence available when it was generated; later conversations or new evidence may change the assessment. You must independently review outputs and remain responsible for your decisions, actions, and business results.
6. Acceptable use
You may not use the Service to:
- violate law, infringe rights, deceive, harass, or facilitate harm;
- upload content you are not authorized to use;
- obtain, reveal, or reconstruct system prompts, private methodology, security controls, or other users' information;
- bypass credits, access controls, rate limits, payment controls, or account restrictions;
- scrape, reverse engineer, probe, disrupt, overload, or introduce malicious code into the Service; or
- use automated means to create abusive traffic or resell the Service without our written permission.
7. Sysiphany intellectual property
The Service, software, interface, branding, system instructions, diagnostic structures, and Sysiphany methodology are owned by Sysiphany or its licensors and are protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
Subject to payment and these Terms, you may use summaries and reports generated for you for your own internal business purposes. Output rights remain subject to applicable law, third-party rights, and any material supplied by you. You may not represent the underlying Sysiphany methodology as your own or use outputs to reconstruct or distribute it.
8. Privacy and security
Our Privacy Policy explains how we handle personal information. We use reasonable safeguards, but no online system or transmission is completely secure. You are responsible for choosing what business information to disclose and for maintaining appropriate copies of important outputs.
9. Third-party services
The Service relies on third parties for functions such as authentication, AI processing, hosting, analytics, bot protection, email, payments, and PDF delivery. Their services may be unavailable or changed, and their separate terms and privacy policies may apply. Sysiphany is not responsible for third-party products outside our control.
10. Suspension and termination
You may stop using the Service at any time and may request account deletion through available account controls or by contacting us. We may suspend or terminate access when reasonably necessary to address non-payment, abuse, security risk, legal requirements, or material violation of these Terms. Provisions that by their nature should survive termination will survive, including payment, intellectual property, disclaimers, liability limits, and dispute terms.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Sysiphany disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service or its outputs will be uninterrupted, error-free, or produce a particular result. Nothing in these Terms excludes rights that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, Sysiphany and its members, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from the Service. Our aggregate liability for claims relating to the Service will not exceed the amount you paid Sysiphany for the Service giving rise to the claim during the 12 months before the event. These limitations do not apply where prohibited by law.
13. Indemnity
To the extent permitted by law, you will defend and indemnify Sysiphany against third-party claims arising from your unlawful use of the Service, your User Content, or your material breach of these Terms, except to the extent caused by Sysiphany.
14. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Courts located in Wyoming will have exclusive jurisdiction, unless applicable consumer law requires otherwise. Before filing a formal claim, each party agrees to make a good-faith effort to resolve the dispute informally by written notice.
15. Changes and general terms
We may update these Terms to reflect changes in the Service, law, or risk. We will post the revised date and provide additional notice when required. Continued use after an update takes effect constitutes acceptance of the revised Terms.
These Terms, together with any checkout or service-specific terms, are the entire agreement concerning the Service. If one provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Sysiphany may assign them in connection with a reorganization, financing, merger, or sale.
